These Terms of Service govern your use of Wave Systems' systems and automation services, including subscriptions, setup, usage-based billing, and related managed support. By activating or continuing a subscription, you agree to the terms outlined below.
Customers agree to recurring subscription fees billed monthly or on another agreed billing cycle. Unless otherwise specified in your service agreement, subscriptions renew automatically until cancelled. Cancellation requires a minimum of 30 days' written notice prior to the next billing date. Wave Systems may update pricing, plan structures, and included systems and automation features from time to time with prior notice, as permitted by the applicable service agreement.
One-time setup fees apply per selected plan, as outlined in your order form or proposal. Setup fees cover initial configuration, integrations, data connections, and onboarding services that enable use of the platform, systems, and automation tools. Setup fees are generally non-refundable once work has commenced, unless otherwise stated in a written agreement.
SMS, email, AI voice, and other communication, AI, or automation services may include usage allowances within your plan. Any usage beyond included allowances will be billed based on actual consumption and applicable third-party provider rates, plus any administrative or pass-through fees identified in your agreement. You are responsible for monitoring usage and for all charges incurred through your accounts and authorized users.
Wave Systems provides managed optimization, configuration, and support for systems and automation as detailed in your specific service agreement or statement of work. Response times, escalation paths, and service-level commitments (SLAs) are defined per account level or plan tier. While Wave Systems will use commercially reasonable efforts to meet defined SLAs, certain incidents, maintenance windows, or third-party outages may affect availability or response times.
Service delivery may rely on third-party AI, communication, and infrastructure providers that support systems and automation (such as SMS aggregators, email service providers, AI model vendors, and telephony partners). By using the services, you acknowledge and consent to the use of these third parties and agree to comply with any applicable third-party terms and policies, including acceptable use and anti-spam requirements. Wave Systems is not responsible for changes in third-party pricing, policies, or service availability, but will provide notice of material impacts where commercially reasonable.
We collect contact, messaging, and usage data to provide our communication services and any associated automated processing. This may include names, email addresses, phone numbers, message content, and interaction data related to how our services are used. We use this information to operate, maintain, and improve service performance and to enhance the accuracy and reliability of automated processing when it applies.
By signing up for our services, customers and their contacts consent to receive SMS, email, and phone communications necessary for service delivery, account administration, and important updates. Each communication will include clear opt-out instructions, and recipients may revoke consent at any time using those mechanisms. Opting out may limit or prevent use of certain service features.
We implement industry-standard security practices to protect customer data against unauthorized access, disclosure, alteration, or destruction. Access to customer data is limited to personnel and service providers who require it to operate, develop, or improve our services and who are bound by confidentiality obligations. Specific technical and organizational security controls may be detailed in customer agreements or data protection addenda.
We engage vetted third-party processors to support hosting, analytics, communication delivery, and automated processing (including AI functionality where applicable). These processors are contractually required to protect data in accordance with applicable law and this Privacy Policy. Categories of processors, their purposes, and any data transfer mechanisms may be disclosed in the applicable customer agreement or upon reasonable request where required by law.
We retain data as long as necessary to provide the services, fulfill the purposes described in this Privacy Policy, and comply with legal, regulatory, and contractual requirements. Specific retention periods vary by data type and service. Customers may request deletion or export of certain data, subject to applicable law and their agreement terms, including any retention or backup obligations that may limit immediate deletion.
